In both the English language version and the Latvian

language version of the License, the first number listed in Point

7 for block No. 5519-1 as specified on Schedule "A" of the

License, which currently reads "56", shall be deleted in its

entirety and replaced with the number "55".

Except as specified above, License shall remain as written in

the form as signed on October 31, 1995.

The Government, Amoco and OPAB each represents and warrants to

the others that its respective representative who signs below

this FIRST AMENDMENT TO LICENSE AGREEMENT is duly authorized to

do so, and that the signature of each said representative shall

be binding on each of the Government, Amoco and OPAB to all of

the terms and conditions specified herein, effective on the last

date on which all of said representatives sign this FIRST

AMENDMENT TO LICENSE AGREEMENT.

In addition, by the signature of its duly authorized

representative below, the Government confirms that the execution

of this FIRST AMENDMENT TO LICENSE AGREEMENT is in conformity

with the laws of Latvia.
