First Amendment

to License Agreement

between Republic

of Latvia

and AMOCO Latvia

Petroleum Company,

a company

incorporated in the United States

and

Oljeprospektering AB (OPAB),

a company

incorporated in Sweden

On October 31, 1995, the Republic of Latvia (the

"Government"), Amoco Latvia Petroleum Company, a company

established under the laws of Delaware, U.S.A. ("Amoco") and

Oljeprospektering AB, a company established under the laws of

Sweden ("OPAB"), duly signed a License Agreement (the "License")

which specifies certain terms and conditions respecting certain

petroleum-related matters.

The License was signed in five originals of both the Latvian

language and the English language, and Article 25.4 of the

License specifies the manner in which both said versions shall be

used and applied.

Based on further discussions, the Government, Amoco and OPAB

have decided and agreed to amend the License as specified below

in this FIRST AMENDMENT TO LICENSE AGREEMENT.

The Government, Amoco and OPAB, the Government, Amoco and OPAB

hereby agree as follows:
