Associated Expenses

Associated Expenses shall be:

(i) costs connected to

consultants, including legal advisers (for the avoidance of

doubt, excluding litigation costs) in connection with

Operations;

(ii) costs connected to the

conduct of any tenders or calls for expression of interest

necessary in connection with the compliance with the Task;

(iii) costs arising in connection

with secondment of personnel from the Responsible Authority, or

from other entities approved by the latter, to EIF, in accordance

with a separate agreement to be entered into between EIF and the

Responsible Authority, and other entities if applicable;

(iv) costs incurred for

translation of any documents which, in accordance with the

Funding Agreement, have to be provided in the Latvian

language;

(v) costs arising in connection

with the termination of the Funding Agreement, and with the

transfer of any JEREMIE Funds, Operational Agreements and/or

Co-Investment Agreements and JEREMIE Assets and Liabilities to

the Government of Latvia or any entity appointed for the

administration of the funds for the JEREMIE activities, under

Article 15.7(ii) and 15.9 of the Funding Agreement and up to the

amount provided therein;

(vi) costs incurred for the

establishment, maintenance and administration of the bank

accounts provided for under the Funding Agreement;

(vii) costs connected to the

external audit of the JEREMIE Holding Fund;

(viii) costs incurred for the

publicity, marketing and campaigning of JEREMIE in Latvia;

(ix) litigation costs in the

meaning of Article 33 of the Latvian Civil Procedure Code

connected to litigation arising in relation with Operations,

excluding (i) any litigation costs incurred in litigation between

the Parties to this Funding Agreement, and (ii) any amounts

payable by EIF or by the JEREMIE Holding Fund to any third party

pursuant to any court resolution or judgement.

(x) Costs for the Capability Audit

provided for under Appendix G of the Funding Agreement.

(xi) other costs, necessary for

the compliance with the Task, to be defined as Associated

Expenses and mutually agreed by EIF and the Responsible Authority

from time to time.
