Termination

Clause

Either party may terminate the

Grant Agreement by giving the other party thirty (30) days

advance written notice. The termination of the Grant Agreement

will end any obligations of the parties to provide financial or

other resources for the TA, except for payments which they are

committed to make pursuant to noncancellable commitments entered

into with third parties prior to the written notice of

termination.
