This ESA may be terminated by

mutual consent of the Parties at any time. Neither the notice to

terminate, nor an actual termination, shall absolve a Party of

financial obligations owed to the other Party, when such

obligations relating to the exercise were incurred in accordance

with the terms and conditions set forth in the ACSAs or other

applicable agreements between the Parties or this ESA.
